1. Definitions

• "Orinthos", "we", "us", "our" refers to the consulting firm operating from 14/2 Wireless Road, Lumpini, Pathum Wan, Bangkok 10330, Thailand.
• "Services" refers to consulting engagements including Market Entry Feasibility Studies, Process Optimization Engagements, and Board-Level Strategic Facilitation.
• "User", "you", "your" refers to any individual or organization accessing this website or engaging our Services.
• "Agreement" refers to the scope of work document agreed for each consulting engagement.
• "Deliverable" refers to documents, reports, or facilitation outputs produced as part of a consulting engagement.

2. Acceptance of Terms

By using this website or engaging our Services, you confirm that you are at least 18 years of age, have the legal capacity to enter into agreements, and accept these Terms. If you are engaging on behalf of an organization, you confirm that you have authority to bind that organization.

3. Service Description

Orinthos provides the following consulting services to organizations in Thailand and internationally:

• Market Entry Feasibility Study: Research-driven market and regulatory analysis for Southeast Asian expansion decisions. Fixed fee: ฿11,000.
• Process Optimization Engagement: Workflow analysis and improvement recommendations for growing organizations. Fixed fee: ฿32,500.
• Board-Level Strategic Facilitation: Structured facilitation for boards and senior leadership teams. Fixed fee: ฿58,500 per session or quarterly retainer basis.

Services are available primarily in Bangkok and Thailand, with remote engagement components available for international clients. We reserve the right to decline any engagement request at our discretion.

4. Engagement Agreement

Each consulting engagement is governed by a written scope of work document agreed between Orinthos and the client prior to commencement. That document specifies activities, deliverables, timeline, and applicable fee. In case of any conflict between these Terms and the scope of work document, the scope of work document prevails for the specific engagement.

5. User Responsibilities

When using this website or engaging our Services, you agree to:

• Provide accurate information in all communications and submissions
• Not use the website for unlawful purposes or to transmit harmful content
• Cooperate reasonably with our consultants during engagements
• Maintain confidentiality of any proprietary methodology or intellectual property shared during engagements
• Make payments in accordance with the agreed engagement schedule

6. Intellectual Property

All website content — including text, design, and structure — is owned by Orinthos and protected under applicable Thai intellectual property law. Consulting deliverables produced for a specific client engagement are transferred to the client upon full payment, subject to the following:

• Orinthos retains ownership of its underlying methodologies, frameworks, and general approaches.
• Client-specific deliverables may not be published or attributed to Orinthos without prior written consent.
• Orinthos may reference the nature of an engagement type (not client identity) in general service descriptions, unless restricted by mutual NDA.

7. Payment Terms

Fees are denominated in Thai Baht (฿). Payment schedules are specified in the engagement scope of work document. Typically, a deposit is required upon engagement commencement with the balance due upon delivery. Late payments may result in delay of deliverables. All fees are exclusive of applicable Thai taxes unless stated otherwise.

8. Disclaimers

Our consulting services are provided based on the information available at the time of the engagement and represent the professional judgment of our consultants. Please note:

• Our findings and recommendations do not constitute legal, financial, or regulatory advice. Independent professional advice should be sought for matters requiring such expertise.
• Business outcomes depend on many factors beyond the scope of our engagement. We do not make promises about specific results.
• This website is provided "as is". We do not warrant uninterrupted access or freedom from technical errors.

9. Limitation of Liability

To the maximum extent permitted by Thai law, Orinthos's total liability to any client for any claim arising from or related to a consulting engagement shall not exceed the fee paid for that specific engagement. We are not liable for indirect, consequential, or special damages arising from use of our services or website.

10. Confidentiality

Both parties agree to maintain confidentiality of the other party's confidential information shared during the engagement. Orinthos will not disclose client-specific information to third parties except as required by law. Clients agree not to disclose Orinthos's proprietary methodologies to third parties. These obligations survive the end of any engagement.

11. Termination

Either party may terminate a consulting engagement by providing written notice. In the event of termination by the client, fees for work completed to the point of termination are payable. In the event of termination by Orinthos due to client breach, the full engagement fee may be payable. Website access may be suspended at any time for technical or legal reasons.

12. Dispute Resolution

These Terms and any engagement agreements are governed by Thai law. In the event of a dispute, both parties agree to attempt resolution through good-faith discussion before pursuing formal proceedings. Any legal proceedings shall be brought in the courts of Bangkok, Thailand.

13. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with a revised effective date. Continued use of our website or services after changes have been posted constitutes acceptance of the updated Terms.
